Articles of Incorporation

The undersigned, citizens of the Unites States, formed a Non-Profit Corporation under the Non-Profit Corporation Law, Chapter 617, FS, of the State of Florida:

Article I - Name: The name of the Corporation: South East Asian Rural Development Fund, Inc.

Article II - Principal Office: The principle office of the Corporation is located in Florida, in the County of Palm Beach, 3000 Lake Osborne Drive, Suite 10-102, Lake Worth, FL. 33461. Telephone Number/Fax: 561-533-5066. E-mail address: guag2@juno.com

Article III - Purpose: Said Corporation is organized exclusively for charitable purposes, including such purposes as the making of distributions to organizations in South East Asia that qualify as exempt organizations under Chapter 617, Florida Status, or the corresponding section of any future Florida tax code.

Article IV - Manner of Election: The annual meeting shall be held in January of each fiscal year for the purpose of electing/appointing officers/directors, and for transacting any other business pertaining to the affairs of the Corporation. The number of directors shall be at all times not less than three, but may be any number in excess thereof, with the same powers, rights and duties as if originally appointed.

Article V - Initial Directors/Officers: The names of the persons who are the initial directors/officers of the Corporation are as follows:

Article VI - Activities: No part of the net earnings of the Corporation shall inure to the benefit of, or be distributable to its officers/directors, or other private persons, except that the Corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article III hereof. No substantial part of the activities of the Corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, the Corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purposes of this Corporation.

Article VII - Dissolution: Upon the dissolution of the Corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed shall be disposed of by a Court of Competent Jurisdiction of the county in which the principle office of the Corporation is then located, exclusively for the purposes or to such organization of organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
